Deal-by-deal vs whole-of-fund distribution waterfall in Cornerstone: what's the practical trade-off for emerging managers?

Section 3.2 of the Cornerstone LPA offers two bracketed options for the interim distribution waterfall: Deal-by-Deal Distribution (Carried Interest is paid out investment-by-investment once that specific investment returns its own capital) versus Whole-of-Fund Distribution (100% of distributions go to LPs first until they've recouped their entire aggregate Capital Contributions across all investments, before any Carried Interest is paid on any deal). For an emerging manager raising a first fund: (1) which structure do institutional or anchor LPs typically expect or push for, and why? (2) what is the real economic/timing difference for the GP - does deal-by-deal let the GP get paid carry much earlier even if later deals in the portfolio go on to lose money? (3) is a GP clawback (Section 6.4.2) more likely to actually get triggered under a deal-by-deal structure than under whole-of-fund?

During Limited Operations Mode, is capital calling frozen and are existing portfolio investments still managed?

Section 4.4 lets Limited Partners holding a Requisite Majority (66 2/3% of Commitment Percentages) put the Fund and General Partner into Limited Operations Mode if they claim a Material Breach, and Section 2.2.2(a) says no Capital Contributions shall be required while the Fund is in Limited Operations Mode. During that period: (1) is the GP still able to actively manage and make decisions about existing Portfolio Investments (follow-ons, exits, board seats, etc.), or does its authority freeze too? (2) Since no new capital can be called, what happens to a Portfolio Company that urgently needs a follow-on investment during that 90-day (or extended) window? (3) Practically, how is Limited Operations Mode different from actually removing the GP under Section 5.2 - is it more like a pause or a real loss of GP authority?

How does the LPA's Fair Value discretion (Section 4.7) interact with a fund's separate Valuation Policy?

Section 4.7 of the Cornerstone LPA says the calculation of Fair Value of any Investment or Fund Asset is determined by General Partner at least annually, and that "all valuations made pursuant to this section shall be final, conclusive and binding on the Fund, all Limited Partners, their successors and assigns." That reads as very broad, unilateral discretion for the GP. Given that funds are also expected to adopt a separate Valuation Policy, is that Policy meant to constrain or structure how the GP exercises this LPA-granted discretion (i.e. a real limit on the "sole discretion"), or is it more just internal documentation/process for arriving at a number the LPA already lets the GP set unilaterally? Practically, could an LP ever successfully challenge a GP's valuation under this LPA language if the GP followed its own Valuation Policy?

Mike, I mentioned to Kelly and maybe Conner that as IL, we didn't have the ability to modify the promoter agreement to include disclosures, etc. How do we, as IPs, get that done with the Fund's investors? Seems that Decile legal could create a standardized form that the IPs could load into their data room for their LPs that could be updated as COIs come about over the years. I would also think there must be a step-wise guide to disclosing to LPs (e.g. an initial then maybe once a year statement / email notice sent)? Maybe that's overkill. Anyway, I have some companies in my pipeline where I have equity interest in them or advisory work in place that have asked for funding. Lastly, is there a template for setting up an LP AC? Guessing that could be as easy as a one-pager referencing the policy and listing the people who agree to be on it.

FEATURE REQUEST: Add people as an attendee after the Event

I posted an event over LinkedIn and those invited RSVPd in LinkedIn and not by clicking on the Hub link.  Would be great if we can add them as an attendee after the event without triggering RSVP emails and such.  That way you have an accurate count of all attendees in Hub.  This can also take care of those that "walk-in" to the event.

Issue Sending Intro Request Email in Decile

Hello[Decile email send issue.PNG], I am experiencing an issue while sending an Intro Request email to a Limited Partner Connector in Decile. The system shows the error message: “Email can't be sent due to missing data.” I have already checked all required fields such as contact email, name, and template variables, and everything appears to be filled correctly.
