Does filing a Form D mean the SEC has approved the offering?

No. Filing a Form D does not mean the SEC has approved your offering. Form D is a notice filing to inform the SEC that you’re conducting a private offering under Regulation D; it does not undergo an approval process. You must still comply with federal exemptions and any required state “blue sky” notices.
