What is a Form D and when is it due?

Form D is the SEC’s notice filing for companies and funds raising capital under Regulation D (private offerings). It alerts regulators that you’re relying on a securities registration exemption.

- Initial filing: within 15 days of the first sale of securities
- Annual amendment: if fundraising continues beyond 12 months or if there are material changes (e.g., terms or related persons)
- Cost: $0 federal fee (state “blue sky” notice fees may apply)
- Where to file: SEC EDGAR; if the due date is on a weekend/holiday, it rolls to the next business day
