What are the most common provisions for management fees on LPA?

Other than the amount of mgmt fee (eg 2%), does it stipulate the frequency of payment and also whether capital calls will be used for this?

Yes. In a VC fund, the LPA usually specifies more than just the fee percentage:

- Fee basis: often on committed capital during the investment period, then lower later
- Fee schedule: when it steps down and whether it is front-loaded
- Payment timing: commonly quarterly, sometimes another cadence
- Start date: typically at or after first close
- Funding source: management fees are generally paid from LP capital via capital calls, along with investment and fund expenses
- Change rights: the GP generally cannot change fees unilaterally; that is set in the LPA

A common market pattern is a blended 2% over fund life, often about 3% to 3.5% early and 1% to 1.5% later.
