Limited Operations Mode is triggered when Limited Partners holding more than 66 ⅔% of the aggregate Commitment Percentages provide written notice to the General Partner, detailing a Material Breach. This mode restricts fund activities and requires the General Partner and Limited Partners to negotiate in good faith to resolve the dispute. The period lasts 90 days and can be extended by successive 90-day periods with further written notice from the Requisite Majority.
