There are "blue sky laws" in the US regarding the number of Accredited Investors in any private investment vehicle that is not registered with the SEC. SEC registration is not realistic for funds. So, you wil need to raise only from Accredited Investors and have a limit of 99 Accredited Investors investing in your fund.
