How many investors can a private company have? Do SVP investors count towards that limit?

A private company can have up to 100 investors under Section 3(c)(1) of the Investment Company Act of 1940, or up to 250 investors if it qualifies as a venture capital fund with less than $10 million. SPV (Special Purpose Vehicle) investors do count towards this limit as they are considered part of the overall investor count.
