How many investors can a private company have? Do SVP investors count towards that limit?

A private company can have up to 100 investors under Section 3(c)(1) of the Investment Company Act of 1940, or up to 250 investors if it qualifies as a venture capital fund with less than $10 million. SPV (Special Purpose Vehicle) investors do count towards this limit as they are considered part of the overall investor count. For more specific guidance, consulting an experienced fund attorney is recommended.
