Delaware Governor Signs Into Law Amendments to Delaware’s General Corporation Law

As it pertains to venture capital, General Partner entities, Management Companies, and Limited Partnerships would generally not be affected. These entities usually do not fall under the General Corporation Law because they are typically not corporations.

Rather they are limited liability companies and limited partnerships, which are governed by different parts of the Delaware Code.
