What restrictions should a GP pay the most attention to when the manager is involved with multiple businesses, advisory activities, or future investment vehicles?

A GP should focus most on **conflict, allocation, and time/role restrictions**:

- **Conflicts of interest**
- other funds, SPVs, syndicates, advisory roles, or compensation from portfolio companies
- disclose early, document clearly, and get approval if required

- **Investment allocation**
- define how opportunities are split across the current fund, future funds, SPVs, and personal vehicles
- avoid ambiguity before launching another vehicle

- **Outside activities / key person risk**
- multiple businesses or advisory work can trigger LP concern if they dilute attention from the fund

- **Governance limits**
- LPs negotiate conflicts rules, key person clauses, and approval mechanics heavily in the LPA
