Best practice:
- Track each LP’s special rights in one place
- Note whether a term is **economic, reporting, governance, tax, regulatory, or operational**
- Flag which rights require **fund-wide disclosure**
- Assign an owner to check the register before admitting any new LP or sending notices
- Keep terms as standardized as possible, since side letters add operational burden and can create unequal economics
